Free Zone vs Offshore Company in the UAE: Key Differences

Free zone and offshore companies look similar but serve different purposes. Compare office, visas, trading and uses.

People often use “free zone” and “offshore” as if they mean the same thing. In the UAE they do not. A free zone company is an operating business with a licence, usually an office option and residency visas. An offshore company is mainly a holding or international business vehicle.

What each one is for

  • Free zone company: running a real business with staff, clients, a bank account and visas.
  • Offshore company: holding shares, property or intellectual property, or invoicing internationally without trading inside the UAE market.

Comparison table

Point Free zone Offshore
Main purpose Operating business Holding and international business
Local trading Depends on the zone Not intended for local trading
Office Flexi-desk, shared or dedicated Registered address
Residency visas Available with the package Generally not the purpose
Bank account Common Often harder, depends on the bank
Substance Real activity expected Limited, but compliance still applies

Common mistakes

  • Choosing offshore because it sounds cheaper, then needing visas and a local bank account later.
  • Assuming an offshore company avoids all reporting. Banks and regulators still ask for ownership and activity details.
  • Opening a free zone company only to hold shares, when a holding structure would fit better.

How to decide

Ask three things: will you hire people or need visas, will you trade with UAE customers, and does your bank accept the structure? If the answers are yes, an operating licence is usually the better base. If you only hold assets or invoice abroad, offshore or a holding structure may fit.
